Terms of Service

2.1 What MultiComply Provides

MultiComply is a template-based document assembly tool that assists with GDPR compliance documentation. The Service operates as follows:

1. Client completes guided forms with conditional logic and progressive disclosure
2. Client's answers are inserted into pre-written legal Templates via automated mail-merge
3. Documents are generated from Templates through rule-based logic
4. Client downloads completed documents for review and use

2.2 Technology Used

The Service uses:

• ✅ Conditional logic (if-then rules)
• ✅ Smart defaults based on Hungarian and EU law
• ✅ Rule-based validation of answers
• ✅ Inline error messages and suggestions
• ✅ Automated mail-merge technology

2.3 What MultiComply Does NOT Provide

The Service does NOT:

• ❌ Use artificial intelligence to generate, write, or modify legal clauses
• ❌ Provide legal advice or legal representation
• ❌ Establish an attorney-client relationship
• ❌ Replace the need for qualified legal counsel
• ❌ Guarantee regulatory compliance or approval by authorities

2.4 Template Authorship

All Templates are created by József Juhász, who holds:

• Hungarian Data Protection Officer (DPO) certification
• Professional expertise in GDPR compliance and Hungarian data protection law

Templates reflect Hungarian and EU law as of their creation date and are updated periodically at Provider's sole discretion.

3.1 Account Requirements

To use the Service, you must:

• Be at least 18 years old
• Have legal capacity to enter into binding contracts
• Provide accurate, complete, and current registration information
• Maintain and promptly update your account information
• Accept these Terms of Service and our Privacy Notice

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Restricting access to your account and devices

3.3 Corporate Accounts

If you register on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.

4.1 Subscription Plans

We offer various subscription plans with different features, usage limits, and pricing. Current plans and pricing are available at multicomply.eu/pricing.

4.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed through secure third-party payment processors
• All fees are exclusive of taxes, which are your responsibility
• Prices may change with 30 days' notice

4.3 Renewals and Cancellation

• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods unless required by law

4.4 Free Trials

We may offer free trial periods. If you don't cancel before the trial ends, you'll be charged for the selected subscription plan.

5.1 Permitted Use

You may use the Service solely for generating GDPR compliance documents for your own legitimate business purposes.

5.2 Prohibited Activities

You may NOT:

• ❌ Resell, sublicense, or redistribute the Service or Generated Documents
• ❌ Reverse engineer, decompile, or disassemble the Service
• ❌ Remove or modify any proprietary notices or labels
• ❌ Use the Service to create competing products or services
• ❌ Extract or copy Templates through scraping or automation
• ❌ Share your account credentials with third parties
• ❌ Use the Service for illegal purposes or to violate any laws
• ❌ Attempt to bypass usage limits or access restrictions
• ❌ Introduce viruses, malware, or harmful code
• ❌ Interfere with the Service's operation or security

5.3 Enforcement

We reserve the right to suspend or terminate your account immediately if you violate these acceptable use terms, without refund.

6.1 Provider's IP Rights

We or our licensors own all intellectual property rights in:

• The Service software, infrastructure, and architecture
• All Templates and their underlying legal content
• The MultiComply brand, logos, and trademarks
• Documentation, tutorials, and help materials

These Terms do not grant you any ownership rights in the Service or Templates.

6.2 License to Use Templates

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Access and use the Service during your subscription period
• Generate documents using the Templates for your internal business use
• Download and use Generated Documents for compliance purposes

6.3 Your Data Rights

You retain all rights to the business information and data you input into the Service. However, Generated Documents contain substantial portions of our Templates, so they remain subject to our intellectual property rights.

6.4 License Termination

Your license to use the Service terminates immediately upon:

• Subscription cancellation or non-payment
• Termination for breach of these Terms
• Account closure for any reason

Documents previously downloaded may continue to be used for their intended compliance purposes.

Provider is NOT liable for:

These limitations are a fundamental part of our agreement. The Service pricing reflects this allocation of risk. Without these limitations, we could not offer the Service at current pricing.

8.1 Accurate Information

You are solely responsible for providing accurate, complete, and truthful information when using the Service. Generated Documents are only as accurate as the information you provide.

8.2 Legal Review Required

8.3 Compliance Responsibility

You remain solely responsible for:

• Achieving and maintaining GDPR compliance
• Implementing appropriate technical and organizational measures
• Training staff on data protection obligations
• Monitoring regulatory developments and updating documents accordingly
• Responding to data subject requests and regulatory inquiries

8.4 Document Maintenance

You must regularly review and update your Generated Documents to reflect changes in your business operations, processing activities, and applicable law.

9.1 Limited Warranty

We warrant that Templates are created by József Juhász based on his professional expertise and reflect Hungarian and EU law as of their creation date.

9.2 No Guarantee of Compliance

9.3 Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.1 Uptime Target

We aim for 99.5% uptime but do not guarantee uninterrupted access to the Service.

10.2 Maintenance and Updates

We may perform scheduled and emergency maintenance that temporarily interrupts Service access. We'll provide advance notice when feasible.

10.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice.

10.4 Data Backups

While we maintain regular backups, you should download and maintain local copies of all Generated Documents.

11.1 Termination by Client

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

11.2 Termination by Provider

We may suspend or terminate your account immediately if:

• You breach these Terms
• Your payment fails or account is overdue
• You engage in fraudulent or illegal activity
• Required by law or regulatory authority
• We discontinue the Service (with 30 days' notice)

11.3 Effects of Termination

Upon termination:

• Your access to the Service immediately ceases
• You must stop using the Templates
• Previously downloaded Generated Documents may continue to be used for compliance
• We may delete your account data after 30 days (subject to legal retention requirements)
• No refunds for unused subscription time (unless required by law)

11.4 Survival

Sections 6 (Intellectual Property), 7 (Limitation of Liability), 14 (Governing Law), 15 (Dispute Resolution), and 17 (General Provisions) survive termination.

12.1 Privacy Notice

Our processing of your personal data is governed by our Privacy Notice, available at multicomply.eu/privacy.

12.2 Data Controller Roles

For your account data and business information you provide to the Service, we are an independent data controller.

You remain the data controller for any personal data of your customers, employees, or data subjects that you reference or process through compliance activities.

12.3 Data Security

We implement appropriate technical and organizational measures to protect your data, including:

• Encryption in transit (TLS) and at rest
• Access controls and authentication
• Regular security assessments
• Incident response procedures

12.4 Data Location

Your data is stored on servers located within the European Union and processed in compliance with GDPR.

13.1 No Attorney-Client Relationship

13.2 No Privileged Communications

Communications with us through the Service or support channels are not protected by attorney-client privilege.

13.3 Multiple Clients

We serve multiple clients who may be competitors or have conflicting interests. The same Templates are available to all subscribers.

14.1 Applicable Law

These Terms are governed by the laws of Hungary, without regard to conflict of law principles.

14.2 EU Law Application

Where applicable, EU regulations including GDPR and consumer protection directives apply directly.

14.3 Consumer Rights

If you are a consumer in the European Union, nothing in these Terms affects your mandatory statutory rights under applicable consumer protection law.

15.1 Negotiation First

Before initiating formal proceedings, you agree to first contact us at info@multicomply.com to attempt informal resolution.

15.2 Jurisdiction

Any disputes shall be resolved by the courts of Kecskemét, Hungary, or for business clients, the courts of Budapest, Hungary.

15.3 Consumer Alternative Dispute Resolution

EU consumers may access the Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16.1 Right to Modify

We may update these Terms from time to time to reflect changes in law, business practices, or Service features.

16.2 Notice of Changes

We will provide notice of material changes:

• By email to your registered address (at least 30 days before effective date)
• Through prominent notice in the Service
• By updating the "Last Updated" date at the top of these Terms

16.3 Acceptance of Changes

Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you don't agree, you must cancel your subscription before the effective date.

17.1 Entire Agreement

These Terms, together with our Privacy Notice, constitute the entire agreement between you and us regarding the Service.

17.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.

17.3 No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any successor or affiliate.

17.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.

17.6 Language

These Terms are provided in English and Hungarian. In case of conflict, the English version prevails.

18.3 Response Time

We aim to respond to all inquiries within 2 business days.

19.1 Definition of "Unlimited"

Features described as "unlimited" in our pricing plans are subject to this Fair Use Policy. "Unlimited" means reasonable usage for your own business compliance operations, not for resale, redistribution, or providing services to third parties.

19.2 Intended Use

Unlimited features are intended for:

• Creating and managing ROPAs for your own legal entities
• Generating GDPR compliance documents for your organization
• Managing data processing activities within your business group

19.3 Prohibited Use

The following uses are prohibited under this Fair Use Policy:

• Reselling access to the Service or generated documents
• Providing GDPR compliance services to third parties using our platform
• Creating accounts or documents on behalf of unrelated businesses
• Automated bulk generation of documents
• Any use that places unreasonable burden on our infrastructure

19.4 Enforcement

We reserve the right to monitor usage patterns and contact you if we believe your usage exceeds fair use. In cases of abuse, we may limit functionality or terminate your subscription with 30 days notice.

20.1 Nature of DPO Services

DPO Add-on services (DPO Assist, DPO Partner, DPO Dedicated) provide consultation and advisory support. These services are supplementary to the software platform and subject to additional terms in this section.

20.2 Business Hours and Response Times

Business hours are Monday to Friday, 09:00-17:00 CET, excluding Hungarian public holidays. All response time commitments (2 business days, 1 business day, 4 business hours) apply only during business hours. Response time means initial acknowledgment, not resolution.

20.3 Consultation Hours

Monthly consultation hours are allocated per calendar month. Unused hours expire at month end, except for rollover provisions specified in your tier. Rollover hours expire if not used in the following month.

20.4 Named DPO Registration (Dedicated Tier)

When we register as your Named DPO, you remain the data controller and retain full legal responsibility for GDPR compliance. Our role is advisory and representational, not decision-making authority over your data processing activities.

20.5 Emergency Breach Support

Emergency breach support hours are provided within the 72-hour GDPR notification window. These hours are for guidance and draft preparation only. All regulatory notifications require your explicit approval before submission. We do not make unilateral decisions regarding breach notification.

20.6 Regulatory Response Drafts

All regulatory response drafts are provided for your review. You retain final decision authority on all submissions to regulatory authorities. We provide guidance, but the decision to submit, timing, and final content approval rest with you as the data controller.

20.7 Liability Limitations for DPO Services

In addition to the general liability limitations in Section 7:

• We are not liable for regulatory fines or penalties issued to you as data controller
• Our maximum liability for DPO services is limited to 3 months of DPO add-on fees paid
• We do not guarantee any particular outcome with regulatory authorities
• Advice is based on information you provide; we are not liable for decisions based on incomplete information
